Terms of service
Last updated 28 October 2026
These terms cover your use of this website and set out the basis on which Better Systems provides custom software, integration and automation services. A project is governed by a written proposal or statement of work signed by both parties; if that document conflicts with these terms, the project document takes priority.
1. Who we are
Better Systems is operated by [legal entity name], company number [number], registered office [address]. Contact: [email address].
2. Using this website
You may browse this site and use the contact form for its intended purpose. You must not attempt to gain unauthorised access to it, interfere with its operation, or use it to send unlawful or misleading content. The site is provided as is; we do our best to keep it accurate and available but do not guarantee either.
3. How a project works
- Scope and quote. After an initial conversation we provide a written proposal with the scope, deliverables, timescales and a fixed, one-off price.
- Acceptance. A project begins when you accept the proposal in writing and pay any deposit it sets out.
- Changes. Work outside the agreed scope is quoted separately before it starts. Nothing is added to your invoice without your agreement.
- Your part. We rely on you to provide information, access to existing systems and timely feedback. Delays on your side may move the agreed dates.
- Delivery and acceptance. Each stage is delivered for you to review. A stage is accepted when you confirm it in writing or begin using it in your business, whichever is earlier.
4. Price and payment
The price for a build is a one-off fee stated in the proposal. There are no per-seat licences or annual memberships for the software we build for you. Invoices are payable within [14] days. Third-party costs that you choose to use with your system (for example hosting, domain names, email or SMS services, or paid integrations with other vendors' products) are separate and are either paid by you directly or passed on at cost, as the proposal sets out.
5. Ownership of the software
On payment in full for a project, you own the custom software we built for you: the source code, the configuration and the data in it. You may use it, change it, host it where you like and engage anyone you choose to maintain it. We keep the right to reuse general know-how, techniques and any pre-existing components or open-source libraries used in the build; these are provided to you under a perpetual licence (or their own open-source licence) so your ownership of the finished system is not affected.
6. Ongoing support
Support and further development are optional. Where you ask for them, they are quoted in advance either as a fixed price per piece of work or at an agreed hourly rate, and you are not committed to any minimum term or retainer unless you choose one in writing.
7. Confidentiality and data
Each party keeps the other's confidential information private and uses it only for the project. Where we process personal data on your behalf, we do so under a data processing agreement and our privacy policy.
8. Warranties
We warrant that the software will perform materially as described in the proposal for [90] days after acceptance, and we will fix defects reported in that period at no charge. Beyond that, support is available as described in section 6. We do not warrant that software will be free of all errors or that it will meet requirements not set out in the proposal.
9. Liability
Nothing in these terms limits liability for death, personal injury, fraud or anything that cannot be limited by law. Otherwise, our total liability for a project is limited to the fees paid for that project, and neither party is liable to the other for indirect or consequential loss, including loss of profit or data, provided reasonable backups are in place.
10. Ending a project
Either party may end a project on written notice if the other materially breaches these terms and does not fix the breach within [14] days. If you end a project for convenience, you pay for work completed to that date and we hand over what has been built.
11. General
These terms are governed by the law of [England and Wales] and the courts there have exclusive jurisdiction. If any part of these terms is found unenforceable, the rest still applies. Neither party may assign the agreement without the other's consent, not to be unreasonably withheld.
